Vistula is a boutique business law firm providing corporate and transactional counsel to public and private companies, investors, boards, executives, business owners, and family offices.
The firm was founded with a clear purpose: sophisticated clients should have direct access to experienced counsel and sound judgment without requiring the infrastructure of a large law firm for every matter.
Vistula frequently serves as outside general counsel and advises clients on significant transactions, corporate governance, financing, securities disclosures, commercial relationships, and other important business decisions. The firm’s approach combines experienced legal judgment with a practical understanding of the business considerations that shape those decisions.
FOUNDER & PRINCIPAL
Edwin J. Lukas founded Vistula after a career spanning more than three decades in corporate and business law.
Before establishing Vistula, Edwin practiced at several prominent Michigan business law firms, including serving as a partner at Miller Canfield Paddock and Stone PLC and Bodman PLC. His experience also includes working in the Office of the General Counsel at Ford Motor Company and serving in an executive leadership role with a prominent family office.
His legal practice has included mergers and acquisitions, private equity, debt financing, corporate governance, securities and public-company matters, commercial transactions, and ongoing representation of businesses as outside general counsel.
Experience across the corporate, transactional, financing, governance, securities, and commercial matters that shape important business decisions.
Comprehensive day-to-day corporate counsel, boardroom-level advisory, and holistic legal infrastructure management tailored for established enterprises and growing family offices.
“Legal advice must ultimately work within the realities of capital, operations, risk, and execution.”
Edwin also serves in a strategic role with a private equity sponsor, where he is directly involved in acquisitions, financing decisions, lender relationships, portfolio-company operations, and growth initiatives.
That role provides a perspective that is uncommon in private legal practice. Edwin regularly encounters financing, transactional, and operational issues not only as legal counsel, but from the client’s side of the table, where legal advice must ultimately work within the realities of capital, operations, risk, and execution.
That experience influences Vistula’s approach to legal counsel: understand the business, identify what matters, evaluate the alternatives, and provide advice that can be put to practical use.
Edwin has served as Chair of the Business Law Section of the State Bar of Michigan and has written and published on corporate and business law matters.
Earlier in his career, he served as a law clerk to the Michigan Supreme Court and as Editor-in-Chief of his law review.
He is admitted to practice law in Michigan and Nevada.
Active standing and multi-jurisdictional authority, enabling high-stakes representation across complex borders.
Vistula’s focused structure allows Edwin to remain directly involved in the matters entrusted to the firm.
When an engagement requires additional capabilities, Vistula works collaboratively with experienced lawyers and law firms selected for the needs of the matter. This approach allows Vistula to assemble a legal team around the engagement rather than requiring every matter to support a predetermined staffing model.
Vistula also regularly works alongside national and regional law firms, including in transactions requiring Michigan or Nevada counsel.
DIRECT PARTNER INVOLVEMENT
Vistula offers flexible fee arrangements tailored to the nature and scope of the engagement. Depending on the matter, arrangements may include traditional hourly billing, fixed fees, or other alternative structures intended to provide clarity and align fees with the work being performed.

Clear, transparent hourly billing for open-ended or evolving corporate and litigation matters.
Defined flat rates for discrete transactions, contract formations, and specific governance projects.
Custom arrangements tailored to align fee predictability and incentives with the scope being performed.
